Terms and Conditions for Splorio

1. Acceptance of These Terms

Splorio ("we", "us" or "our") provides a web and mobile service that helps parents, caregivers and educators understand a child's temperament and development through questionnaires, videos and interactive activities. These Terms and Conditions (the "Terms") form a legally binding agreement between you and Splorio. By creating an account, purchasing a subscription, completing a questionnaire, uploading a video or otherwise using our websites, mobile applications or related services (collectively, the "Services"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you must not use the Services.

We may modify these Terms from time to time. We will notify you of material changes by email or through the Services. Your continued use of the Services after changes become effective constitutes your acceptance of the updated Terms.

2. Description of the Services

Splorio pairs AI-driven analysis with insights from child development experts to help you discover your family's strengths and challenges, receive weekly activity plans and check‑ins, and reflect on your child's progress. Our platform guides you through a simple loop: answering short questionnaires, viewing personalised reports, receiving weekly plans, completing activities and check‑ins, and receiving updated recommendations. The goal is to empower you to make the most of everyday moments and build stronger relationships with your child.

Not Medical or Diagnostic Advice

The Services are an educational and informational tool, not therapy or counselling. We provide insights and strategies based on temperament and developmental research. Splorio does not diagnose, screen for, treat or cure medical or developmental disorders. The suggestions and reports we provide are general guidance and are not a substitute for professional advice from a physician, psychologist or other qualified health-care provider. You should always seek the advice of a qualified professional with any questions you may have regarding your child's health or development.

Evolving Features

We may add new features or refine the Services over time. While our long‑term vision is to support families across a range of developmental, social, emotion and behavioural challenges, at present the Services are limited to educational guidance and coaching. If we introduce features that involve diagnosing or intervening in developmental conditions, we will update these Terms and obtain any required consents.

3. Eligibility

You must be at least 18 years old to create an account and use the Services. By using the Services, you represent and warrant that you are of legal age and that you have the authority to enter into these Terms on behalf of yourself and, if applicable, the child whose information you provide. If you use the Services as an educator or caregiver for a child, you represent that you have obtained all necessary permissions from the child's parent or legal guardian.

4. Account Registration and Security

You may need to create an account to use certain features of the Services. When you register, you agree to provide accurate, current and complete information and to keep it up to date. You are responsible for maintaining the confidentiality of your password and for all activities that occur under your account. If you believe that your account has been compromised, please notify us immediately. We are not liable for any loss or damage arising from your failure to safeguard your credentials.

5. Subscriptions and Fees

Some parts of the Services may require payment, such as subscriptions that grant access to personalised reports and weekly plans. When you purchase a subscription, you agree to pay the applicable fees and taxes. We may change prices at any time but will provide advance notice of changes. Subscription fees are billed in advance and are non‑refundable unless stated otherwise. You may cancel your subscription at any time; cancellation will take effect at the end of the current billing cycle.

6. User Content

Our Services allow you to submit content such as questionnaire responses, feedback, photos and videos of your child, and other materials (collectively, "User Content"). You retain ownership of your User Content. By submitting User Content, you grant Splorio a worldwide, royalty‑free licence to use, reproduce, adapt, publish, and process your User Content for the purposes of providing and improving the Services, developing insights, training and evaluating our algorithms, and creating aggregated or anonymised data. We will not sell your identifiable information to third parties and we will handle personal data in accordance with our Privacy Policy.

You are solely responsible for the User Content you submit. You must have all necessary rights and permissions to share information and videos about any children or other individuals. You agree that your User Content will not violate any applicable law or infringe the rights of others. We reserve the right to remove or restrict User Content that violates these Terms or is otherwise objectionable.

7. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You will not:

  • Use the Services to diagnose, treat, or monitor any medical or developmental disorder or to provide medical advice;
  • Use the Services in a manner that is illegal, fraudulent, harmful, threatening, abusive, harassing, defamatory or otherwise objectionable;
  • Upload or transmit viruses, malware or other harmful code;
  • Interfere with the proper functioning of the Services or attempt to circumvent any security measures;
  • Copy, distribute, modify or create derivative works based on the Services (except as expressly authorised by us);
  • Reverse engineer, decompile or disassemble any portion of the Services;
  • Use the Services to develop a competing product or service;
  • Provide access to your account to anyone else without our prior written consent.

8. Intellectual Property

The Services and all materials provided by Splorio, including our website content, questionnaires, reports, activities, text, graphics, logos, icons, images and software, are owned by Splorio or its licensors and are protected by copyright, trademark and other intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non‑exclusive, non‑transferable licence to access and use the Services for your personal, non‑commercial use. No right, title or interest in the Services is transferred to you except for the limited licence granted herein.

9. Third‑Party Content and Links

The Services may contain links to third‑party websites or services. We do not control or endorse third‑party content and are not responsible for any information, products or services they provide. Your interactions with third parties are solely between you and the third party. We are not liable for any loss or damage arising from your use of third‑party content or services.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. Splorio makes no representations or warranties about the accuracy, completeness or reliability of the Services or any content therein. To the fullest extent permitted by applicable law, we expressly disclaim any warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non‑infringement. We do not warrant that the Services will be uninterrupted or error‑free, that defects will be corrected or that the Services are free of viruses or other harmful components. You use the Services at your own risk.

11. Limitation of Liability

To the maximum extent permitted by law, Splorio and its officers, directors, employees, agents and partners will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill or other intangible losses resulting from (a) your use or inability to use the Services; (b) any conduct or content of any third party; (c) unauthorised access, use or alteration of your User Content or account; or (d) any other matter relating to the Services. In no event will Splorio's total liability for all claims relating to the Services exceed the greater of (i) the amount you paid us to use the Services in the twelve months preceding the claim, or (ii) INR 5,000.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you. In such cases, Splorio's liability will be limited to the fullest extent permitted by applicable law.

12. Indemnification

You agree to indemnify and hold harmless Splorio and its affiliates, officers, directors, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (a) your access to or use of the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of another.

13. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or if your use of the Services could create legal liability for us. Upon termination, your right to use the Services will immediately cease and all licences granted to you will terminate. Sections that by their nature should survive termination (including intellectual property, disclaimer of warranties, limitation of liability and indemnification) shall continue in effect.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of India, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the courts in Mumbai, India, unless applicable law requires otherwise. Before commencing any legal action, you agree to attempt to resolve the dispute informally by contacting us and providing a reasonable opportunity to resolve the dispute.

15. General Terms

Entire Agreement

These Terms constitute the entire agreement between you and Splorio regarding the Services and supersede all prior or contemporaneous agreements.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
